$6.5 billion: TI Completes Acquisition of National Semiconductor

Texas Instruments completed its acquisition of 6.5 billion U.S. dollars for its former rival National Semiconductor Corp. last Friday (September 23).

Texas Instruments said earlier this week that it expects to close deals on Friday, slightly faster than the company’s April forecast. At that time, the forecast time was relatively late. It mainly required the approval of the regulatory authorities.

Rich Templeton, chairman, president and chief executive officer of Texas Instruments, said: “National Semiconductor has now become a strategic part of the growth of Texas Instruments' analog business. After the merger, we will focus on accelerating innovation in semiconductor business and enhancing customers. Electronic system performance and power efficiency."

National Semiconductor’s more than 5,000 employees will formally become members of Texas Instruments. The two companies will immediately work to integrate National Semiconductor into a division of Texas Instruments' analog business. At that time, Texas Instruments' analog business will have nearly 45,000 analog product portfolios, powerful customer design tools and 10 times the number of US countries. Semiconductor's original sales team.

Templeton pointed out: "The successful completion of this acquisition has enabled Texas Instruments to gain more market-leading analog products, stronger manufacturing capabilities, and the industry's largest sales and application team, thereby expanding the market advantage of Texas Instruments. After the merger, Texas Instruments will serve more customers in a wider market.”

The acquisition was announced on April 4, 2011, and has now passed all necessary regulatory reviews and approved by National Semiconductor shareholders. Texas Instruments will report the third quarter earnings report released on October 24, 2011, explaining the contribution of the National Semiconductor business to the company’s financial performance.

After the formal completion of the acquisition, the analog business will account for more than 50% of the entire company's revenue.

Texas Instruments will continue to operate National Semiconductor’s manufacturing facilities in Maine, Scotland and Malaysia, and take over its Santa Clara headquarters and global sales and design support organization.
